End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Jantrax, Inc. ("Company", "we", "us", or "our") for use of the Jantrax software application, including any associated documentation, updates, and services (collectively, the "Software").

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business operations related to janitorial services management.

2. Account Registration

To use certain features of the Software, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3. Subscription and Fees

Access to the Software requires a paid subscription. By subscribing, you agree to pay all applicable fees as described in your subscription plan. Fees are non-refundable except as required by law or as explicitly stated in this Agreement.

• Subscription fees are billed in advance on a monthly or annual basis
• We reserve the right to modify pricing with 30 days' notice
• Failure to pay may result in suspension or termination of access

4. Acceptable Use

You agree not to:

• Use the Software for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the integrity or performance of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Use the Software to transmit malicious code or harmful content
• Share your account credentials with unauthorized parties
• Use automated systems to access the Software without permission

5. Data and Privacy

Your use of the Software is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. You acknowledge that:

• We collect and process data as described in our Privacy Policy
• You are responsible for the accuracy of data you input into the Software
• You have obtained necessary consents to input personal data of employees or clients
• We implement reasonable security measures to protect your data

6. Intellectual Property

The Software and all related intellectual property rights are and shall remain the exclusive property of Jantrax, Inc. and its licensors. This Agreement does not grant you any rights to trademarks, service marks, or logos.

You retain all rights to the data you input into the Software. By using the Software, you grant us a limited license to use, process, and store your data solely to provide and improve the Software.

7. Third-Party Integrations

The Software may integrate with third-party services (e.g., QuickBooks Online, payment processors). Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for third-party services and provide no warranties regarding their availability or functionality.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or secure, or that defects will be corrected. You use the Software at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JANTRAX, INC., ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jantrax, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Software, violation of this Agreement, or infringement of any third-party rights.

11. Term and Termination

This Agreement is effective until terminated. We may terminate or suspend your access immediately, without prior notice, for any breach of this Agreement. Upon termination:

• Your license to use the Software immediately ceases
• You must cease all use of the Software
• We may delete your account and associated data after a retention period
• Provisions that should survive termination will remain in effect

12. Modifications to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement or through email. Your continued use of the Software after such modifications constitutes acceptance of the updated terms.

13. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. General Provisions

• Entire Agreement: This Agreement constitutes the entire agreement between you and Jantrax, Inc. regarding the Software.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign this Agreement without our prior written consent.
